案例简介:1月份,刘先生通过一房屋中介公司与别人签订了一份房屋更名合同。合同中约定由刘先生首期付款10万元替卖方到银行还款撤押,然后双方再到开发商处办理更名手续,手续费由刘先生全部承担,更名手续办理完后刘先生再付给卖方剩余的房款15万。合同中还详细约定了双方的权利义务及办理银行还款撤押、办理更名手续的具体日期及不能办理的违约责任。在合同履行的过程中,因为刘先生的身份证过期没能及时从银行提款而导致迟延付款,卖方要求刘先生承担违约责任,支付约定数额的违约金,刘先生不同意,卖方随诉诸法院。
律师分析:本案实际上是一个商品房预售合同转让的效力问题。商品房预售合同转让是指商品房预购人将购买的未竣工的预售商品房再行转让他人的行为。这种转让只变更合同主体,合同内容不发生变化,由商品房预购人将原预购合同的债权或者权利义务转让给第三人,使第三人与预售人之间建立新的买卖法律关系。
《中华人民共和国合同法》第79条规定:债权人可以将合同的权利全部或者部分转让给第三人。《中华人民共和国房地产管理法》第45条规定:商品房预售的,商品房预购人将购买的未竣工的预售商品房再行转让的问题,由国务院规定。这说明商品房预售合同的转让是合法的,只是由国务院基于行政管理的需要具体来把握。
而鉴于房地产市场的异常火爆,房地产泡沫也随之高涨,给经济运行带来了巨大的风险;同时房地产市场的发展趋于畸形,盲目的追求高利润,开发高档住宅及商业地产,不利于房地产市场的长期健康的发展,更不利于国家宏观调控政策的实施,同时也给行政管理及实施社会福利政策带来了阻力。再者,不动产流转是经济社会资源配置的最重要方式之一,国家对其征收流转税也是财政来源的重要组成部分,但更重要的意义在于国家通过税收这个法律的、经济的杠杆来调节社会资金的流向及流转速度,从而达到其行政管理的目的。而商品房预售合同的转让因为其没有发生房屋权属的移转,不存在对不动产征税问题,致使税金流失,而且加速了房屋财产的流转,给目前炙热的房地产市场的降温带来巨大压力。
4月30号,经国务院同意并转发的.建设部、发展改革委、财政部、国土资源部、人民银行、税务总局、银监会等七部门《关于做好稳定住房价格工作的意见》中规定:根据《中华人民共和国城市房地产管理法》有关规定,国务院决定,禁止商品房预购人将购买的未竣工的预售商品房再行转让。在预售商品房竣工交付、预购人取得房屋所有权证之前,房地产主管部门不得为其办理转让等手续;房屋所有权申请人与登记备案的预售合同载明的预购人不一致的,房屋权属登记机关不得为其办理房屋权属登记手续。实行实名制购房,推行商品房预销售合同网上即时备案,防范私下交易行为。至此商品房预售合同的转让已经被国务院否定。国务院行使了《中华人民共和国城市房地产管理法》中赋予其规定商品房预购人将购买的未竣工的预售商品房再行转让的问题的权力,明确予以否定,至此《中华人民共和国房地产管理法》第37条的授权性法律规定已经得到了补充。
《中华人民共和国合同法》第52条规定:违反法律、法规的强制性规定的合同无效。而《中华人民共和国房地产管理法》第37条的规定就是强制性的法律规定。《西安市国土资源和房屋管理局关于加强商品房预售管理有关问题的通知》第三条规定:预售商品房不得转让。刘先生与出卖人签订的房屋更名合同应当认定为一份无效的合同。无效的合同自始没有法律约束力,既然没有法律约束力就不存在违约不违约的问题。对于无效合同来说,只能产生以下法律后果:合同无效,因该合同取得的财产,()应当予以返还;不能返还的或者没有必要返还的,应当折价补偿。有过错的一方应当赔偿对方因此所受到的损失,双方都有过错的,应当各自承担相应的责任。
对于本案来说,既然合同无效,合同中约定的违约条款也就当然的无效,不存在谁违约,谁承担违约责任的问题;对于买受人来说,他并没有实际占有该房屋,也就谈不上返还财产,而对于卖方来说,既然已经收取了部分购房款,就应当返还购房款及同期银行利息;因为本案中的卖方存在主要的过错,所以因合同无效而造成的损失应当主要由卖方来承担。
刘先生要想购买该房屋只能等到对方办理了房产证之后再与其签订房屋买卖合同,这样的合同才是合法有效,才能得到法律的切实保护!
出现以上情况,买受人的权利是很难得到法律的切实保障的。我国不动产的公示方法就是登记,这提醒广大的购房者,在买房之前一定要审查清楚:房屋出卖人与房屋产权证上登记的产权人是否一致?如不一致,是否得到了产权人的合法有效的授权?该房屋是否有共有权人?有的话,共有权人是否同意出卖房屋?只有把好这一关,才能切实有效的防止以上的情况发生。
综上所述,在房屋买卖当中,有着很多的违法、违规操作,有的是基于对法律、法规政策的无知、不了解,有的则是为追求利益而明知故犯,他们的行为轻者会给购房者带来风险乃至损失,重者则是严重的扰乱了房产市场的交易秩序。总之,无论买卖的是一手房还是二手房,都必须先查清卖方有无房产证,有无处分权,不然会导致巨大的法律风险。

定金合同范本的生效
定金合同作为合同的一种,其成立和生效当然应当具备合同成立生效的一般要件,但作为一种担保合同,其成立应具备以下几个特殊要件:第一,当事人 之间需就定金担保达成合意。第二,定金合同为要式合同,应当采取书面形式订立。第三,定金合同为实践合同,因此其成立和生效以当事人一方实际交付约定的定 金为条件。第四,定金合同为从合同,其成立以主合同的成立为前提。第五,定金合同的标的只限于金钱,且数额不得超过法定比例(主合同标的额的百分之二 十)。
定金合同范本的注意事项
1、立约定金应以书面形式约定。
2、立约定金合同应与主合同双方当事人名称保持一致。
3、立约定金的数额不得超过主合同标的额的20%,超过部分不受法律保护。

5、立约定金合同从实际交付定金之日起生效。
6、未能订立合同的过错方将承担定金罚则的风险。
7、主合同无效,则作为从合同的立约定金合同亦无效。若主合同的交易受法律禁止或者限制或者可能被确认无效,立约定金被确认无效的法律风险较高。
8、立约定金合同的未决事项(尤其主合同的主要事项)不得过多。

Kaya is an outstanding extemporaneous speaker and debater. She has won many awards on the speech and debate circuits, and qualified for national tournaments. Success in these interscholastic activities requires extensive research and persuasive skills. Kaya also holds the degree of Special Distinction, as a member of the National Forensic League. Due to its nature of metro, state, and national interscholastic competition, the successful high school forensics student serves by not only representing his or her school but also by representing his or her community as well.
One of the requirements in my advanced class is to prepare lectures and guidance for the beginners. With Kaya’ s superior knowledge and involvement in the political sciences, she developed a strong sense of confidence with a charming attitude. Therefore, I could always depend on her to set the best example as an instructor. Because of her natural leadership abilities, Kaya was selected as our Debate Captain.

3.推荐人可以着重介绍被推荐人曾经获得的奖励,发表过的论文,参加过的重要学术会议,以及曾在学生组织或学术团体中的任职等来支持自己的评价。
4.推荐人还必须清楚地表明被推荐人留学的身份是研究生还是访问学者,专业领域和研究方向是什么。
