篇1:投行部门年度工作总结

20XX年,投资部在“一个深化、四个提升”发展思路和“两提一降”工作要求的指引下,将部门工作和党的创先争优、群众路线活动相结合,全面完成了今年的各项考核指标。

一、20XX年工作总结

20XX年,投资部积极应对新常态,苦练内功,固本培元,向“打造具有国际竞争力的世界一流矿业集团”核心目标砥砺前行,在“控风险、管投资、找资源、炼队伍”等四个方面笃力实现新发展。

(一)控风险

按照集团公司“捂紧钱袋子”、“过紧日子”的工作要求,投资部在总结近几年投资项目管理经验的基础上,充分发挥人员专业优势,将投资审备工作大幅前移,协助企业做好项目前期研究,严控风险,审慎决策。投资总额自20XX年起逐年下降,投资节奏明显放缓。

20XX年,投资部研究审核各出资企业国内外投资项目17个,其中予以审核上会通过的1个,备案的2个,建议暂缓的1个,给予工作建议和回复的13个。

(二)管投资

20XX年,面对复杂严峻的局势,投资部从“管控体系建设、在建项目管理、投产项目决算”三方面入手,科学合理的开展投资管理工作。

1.管控体系建设

近年来,出资企业建设项目种类和管理模式都呈现多样化的趋势,集团公司在开展固定资产建设项目管理工作中一直缺乏统一的制度规范,为了有效防控投资风险,保障工程质量,推进项目建设顺利实施,投资部在认真总结近几年境内外重点建设项目管理工作经验的基础上,于20XX年开展了《中国有色矿业集团有限公司固定资产投资建设项目管理办法》(以下简称《办法》)的制定工作。经过筹备起草、意见征集、整理完善,目前《办法》已上会审议通过。

《办法》明确了建设项目管理体制中,集团公司、项目直接上级主管单位和建设单位的管理职责;明晰了各个责任体在建设项目前期准备、建设实施等各个阶段中的管理要点和内容;尤其对出资企业高度关注的项目竣工决算、决算审计、验收、后评价等环节做了较为详细的阐述。《办法》的实施,将进一步完善集团公司投资管控体系建设,同时也满足了国资委对集团公司内部控制评价考核的要求。

2.在建项目管理

投资部充分发挥协调、监督和指导职能,通过重点项目月报制度跟踪项目建设情况,及时发现问题,协调、督促参建各方共同解决,并在项目建设进入关键节点目标时深入现场了解情况,加大对重点项目、重大事项的协调力度。

3.投产项目决算

20XX年,集团公司进入竣工决算阶段的固定资产投资项目共18个,其中完成竣工决算和审计工作的项目5个;完成内部竣工决算编制报告的项目5个;已启动竣工决算工作的项目8个。

(三)找资源

20XX年,投资部认真分析当前的矿业发展态势,本着“积极寻找,细致研究,谨慎介入”的态度,扎实推进资源开发工作。

1.积极寻找

为及时全面地了解当前行业动态和信息,投资部坚持 “走出去”和“请进来”两相结合,捕捉潜在的投资机会。

“走出去”。20XX年,投资部先后赴3个地区对7个项目进行现场考察和管理层洽谈。同时,参加中加矿业论坛等各类行业会议十余个。“请进来”。20XX年,投资部接待国外矿业公司、知名投行律所等各类来访团队十余家。

2.细致研究

20XX年,投资部研究新资源项目50余个,其中深入研究20个,签署保密协议进入项目数据库研究11个,搭建模型进行估值7个,开展现场尽职调查7个。基于认真细致的机会研究工作,形成项目研究报告11份,为集团公司和出资企业的投资决策提供了可靠依据。

3.谨慎介入

20XX年,鉴于矿业市场的持续低迷状态,投资部在细致研究的基础上,对符团公司当前发展实际的项目,本着“积极参与前期报价,谨慎介入后期投标”的态度,开展了1个项目的非约束报价工作。

(四)炼队伍

20XX年,投资部以估值模型学习为主题开展部门业务技能培训、通过深入企业调研开展“两提一降”活动,按“双培养”要求开展部门党建工作,努力培育一支懂业务、肯吃苦、好钻研、熟悉国际化经营的投资团队。

1.学习估值模型,提高业务技能

20XX年,投资部以“估值模型学习”为主题,要求每名员工都以实际项目为案例独立搭建估值模型,并向全部门进行学习成果汇报。汇报期间,部门领导还从矿山排产计划、资本支出、生产成本、税收及折旧、经济效益测算等方面为员工详细点评,分享项目估值和模型搭建技巧,提高员工投资甄别和研究能力,截至20XX年底,投资部20名员工中已有2人获得教授级高工资格,4人获得高级工程师(经济师)资格,6人获得工程师(经济师)资格。

2.深入企业调研,落实两提一降

20XX年,投资部结合本职工作,围绕“打造服务投资部、资源开发、竣工决算、重点企业调研”等主题,坚持工作重心下移,深入项目、深入实际,领导干部身先士卒,党员同志模范带头,普通员工奋勇争先,到“两提一降”的第一线去,做到知企业之情、解企业之忧,为出资企业发展献计献策,根据活动落实情况撰写 “我在两提一降第一线”主题征文6篇。

截至12月底,投资部对国外——赞比亚、刚果(金)、缅甸、塔吉克斯坦、澳大利亚、印尼等国,国内——大冶有色、十五冶、山东奥博特、宁夏东方、天津特材、红透山矿业、沈阳矿业、广西平桂等多家出资企业以及黑龙江、广东等地方有关政府部门及企业的多个项目进行了实地调研,共计61人次374天,形成调研报告44份,指导出资企业以提高投资项目的质量和企业经济效益为着力点,严控投资规模,严格项目竣工决算,并为集团公司未来发展寻找战略新资源。

3.注重思想培养,练就过硬队伍

20XX年,投资部支部发展了3名预备党员,1名入党积极分子,已连续4年发展了7名党员。在支部的安排下,他们都在各自岗位上发挥着重要作用,部门党建工作已形成梯队。截至20XX年底,投资部党支部已有党员17名(含预备党员),占部门人数的85%,是集团总部党员比例最高的业务支部之一。

二、工作思路

当前,有色金属价格低位运行,行业形势不容乐观,虽然集团公司顶住压力,实现了世界500强排位的大幅跃进,但随着中国经济进入“新常态”,市场下行压力依然较大。在难得的发展机遇和严峻的挑战面前,如何加快转变发展方式,实现由大到强的突破?

围绕着“打造世界一流矿业公司”的核心目标,投资部计划从集团层面做好投资业务的“统筹融合”,从部门层面做实本职业务的“三好一优”。

(一)统筹融合

500强的跨越,使集团公司从一个业务相对简单的`小集团发展为涵盖有色全产业链的大型综合矿业集团,形成了围绕铜铝铅锌镍等大有色品种做大做强、围绕钨锡钽铌铍稀土等稀有金属品种做精做细的发展模式。产业分工和区域分布日趋合理,各出资企业的投资行为也逐步规范。但上升到全集团层面,各出资企业的投资因为自身业务特点和后加入集团等原因,尚处于以充实自我、独自发展为中心的阶段,缺乏统一指导,各企业之间的合力还没有充分发挥。各出资企业自身既是集团军,也是方面军。对全集团的资源进行优化配置、提高使用效率是集团可持续发展的必然要求,也是一个长期的、持续的、渐进的过程。

投资部承担着全集团投资项目规划、审核、监管等职能,开阔视野,树立兼顾集团公司全局的投资目标,研究有利于企业稳健、均衡发展的投资措施,为集团公司整体业务开拓、可持续发展出谋划策,是投资部义不容辞的责任。投资部拟对各出资企业的投资业务进行全面的“统筹融合”。

“统筹”是指通过梳理流程、健全制度、明确规范、交流调研,指导出资企业牢固树立集团公司“一盘棋”思想,加强对出资企业投资业务的统一策划、统一指挥,逐步形成“集团主导、企业市场化运作”的统筹运作。

“融合”是指通过搭建信息交流平台、组织集中研讨,发现各业务板块交叉所带来的潜在业务机会,指导各出资企业互相理解、互相支持,互相创造发展条件,形成集团公司的整体优势,实现集团公司与各出资企业“大融合”的共同发展。

(二)三好一优

立足“世界500强”的高平台,投资部将围绕项目开发、投资管理、项目管理三大职能扎实开展工作,力争做到 “选择好、献策好、建设好”,以实现“判断方向准、投资时机对、项目收益好”的投资目标,同时持续加强学习型组织建设,做优投资团队。

“选择好”是指在项目开发工作中,深入研判形势和储备的重点项目,为集团公司选择资产优良、规模合适、可持续发展能力强的优质项目。虽然目前世界矿业领域持续萧条,但我们却面临着在“世界500强”起点上又一次飞跃的契机,要抓住这一时机,在海外资源项目开发上取得突破。

“献策好”是指在投资管理工作中,深入分析宏观经济形势和集团公司现实发展需要,加强对新项目的研究论证,适时前移审备工作,对条件成熟的项目及时审备并积极推进,对条件不足的项目建议放缓,对于风险较大的项目明确否决,坚持把投资质量和效益放在第一位,真正体现投资项目对企业长远健康发展的支撑作用。

“建设好”是指在项目管理工作中,总结集团公司建成和在建项目的有益经验,加强对项目建设过程中工程设计、主要设备及物资采购、项目网络计划梳理等关键风险点的控制,通过重点项目进展情况月报制度实时分析项目情况,树立项目竣工决算-审计-验收-后评价全流程管理理念,实现对投资的闭环管理,确保投资质量。

做优投资团队,投资部要鼓励年轻员工多去国内外项目现场工作学习,坚持把实现好、维护好、发展好出资企业根本利益作为一切工作的出发点和落脚点;将部门有主题的年度集中学习和平时工作中的“传帮带”有机集合在一起,统筹安排项目团队构成,为新员工快速熟悉关键业务提供学习的平台和实践机会;努力把员工个人职业规划与集团公司的发展目标有机结合,为集团公司做强做优贡献力量。

三、20XX年工作计划

20XX年,是“十二五”的收官之年,面对新常态,投资部将围绕“统筹融合”、“三好一优”的新思路,通过“三加一提”扎实推进部门各项工作。

(一)加大资源获取力度

20XX年,投资部要继续加大对海外资源项目的研究和跟踪,争取在合适机会开展主动收购,为集团公司未来的可持续发展注入新鲜血液和不竭动力。

同时,努力创新投资模式,研究多种形式、多种方式的投资,充分利用香港上市公司平台,拓展集团公司多元化投资渠道,分散投资风险;主动“走出去”,通过出去考察和参会,更深入和全面地了解南北美洲、澳洲等资源丰富地区的投资环境、矿业政策、投资机会,为进一步投资开发这些地区的资源奠定坚实的基础;积极“请进来”,通过交流和洽谈,与各大投行、咨询机构共享大宗商品价格预测等信息,并储备有价值的项目信息。

(二)加快建设项目进度

继续推进国内外重点基地建设,确保在建项目按时投产、完工项目达产达标。尽快把资源优势转变为经济优势。

(三)加强投资制度建设

积极协调并督促出资企业根据集团公司《投资管理办法》以及配套制度,制定、完善自身的投资管理制度、办法,建立科学的决策程序;同时,开展投资管理缺陷诊断,选择重点出资企业开展详细的调研、分析,寻找管理缺失和执行盲区,建立健全投资管控体系。

(四)提升投资团队素质

继续以部门业务为抓手,加强学习型组织建设,推动部门核心任务开展,努力打造一支作风优良、工作高效、服务主动、好学肯干的员工队伍,为集团公司持续做强做优,为“打造世界一流矿业企业”贡献力量!

Using our own CV database, we looked at the frequency with which these ‘power words’ are used on CVs belonging to people seeking front office jobs in investment banks (sales, trading, research, capital markets, corporate finance). This gave us the words below, each of which occurs on 10% of resumes, or more. If you want to spruce up your CV, we suggest you insert these as appropriate.

Notably, 70% of CVs belonging to front office investment bankers include the word ‘analyzed,’ or its derivatives (analysis, analyst etc.). ‘Managed’ and ‘developed’ also occur on around 50% of resumes. At the other end of the scale, words like ‘leveraged’, ‘founded’, ‘gained’, ‘evaluated’, and ‘delivered’ are less well-used and should act as differentiators should you insert them.

A word of caution, however: don’t use these words too liberally. – CVs filled with power words can look cliched. And CVs which repeat the same power words repetitively can look weak. You’re best choosing five favourites and employing them judiciously for best effect.

1、国内的投资银行没有给企业提供投行应有的价值。而这种“应有的价值”便是被陈宏津津乐道的汉能投资集团的主营业务之一:高效率的融资、并购等财务顾问服务。

2、“投行最忌讳抢了企业的风头。”陈宏打趣道,“我们只对客户负责,不过是一个贡献者而已。从中赚了点钱倒是真的。”

4、投资银行很多时候是要见高级客户的,那么相貌以及气质的要求是很重要的!当然,生而卓众的是极少数,那么,气质表现和言语谈吐是可以通过后天的积累来弥补的,起码举止表现的要professional。一位在某国际顶尖投行做到董事总经理的中国人曾对我说过一个词言简意赅地概括了这点要求:presentable。

找些商务礼仪方面的书,好好看看,不要犯一些社交场合方面的错误,而且会给人的见面印象会比较好

行头要配置好,面试的时候一定要穿职业套装,就算自己不是特别的英俊潇洒或者天香国色,起码给人印象会非常精干、非常职业,可以弥补自己在相貌上的一些不够理想的地方。

6、拿投资银行最广为人知的投资银行部来说,其看中的专业知识主要有几个部分:

5.M&A (企业并购)[注:较少涉及]

7、职场中,有人喜欢你,就一定有人会不喜欢你。有人原来喜欢你,后来会疏远你。有人原来讨厌你,后来会欣赏你。

8、在向中国证监会提交材料之前,投行必须勤勉尽责,一方面对政策法规要有透彻的理解,另一方面对企业也要有深入的调查和分析,以往堆材料式的模式已经行不通了。所以,投行一要有足够的人手,二要有足够的实践经验,三要有强大的研究支持,才能够为IPO业务保驾护航。

学习心得

在这为期一周的实训课程中,我们通过对某一具体企业在创业板上市过程的流程分析,不仅巩固了课上所学的知识,并且对企业上市的整个流程有了更加深刻的理解。

在写报告的过程中,通过查阅和搜集大量的资料也对课上的知识进行了一次查漏补缺。创业板市场是交易所主板市场以外的另一个证券市场,是为新兴公司提供集资途径,助其发展和扩展业务。企业要在创业板上市首先很重要的一个环节是撰写商业计划书。商业计划书的内容包括反映投资者所有有兴趣的内容,从企业成长经历、管理团队、股权结构、产品服务、市场、营销、组织人事、财务、运营到中小企业融资方案。它有很重要的作用是投资商慎审筛选项目的重要依据。是企业项目融通资金的必备资料与重要因素,对企业的创业起步具有重要作用,同时也是项目实现顺利启动与有序实施的重要因素之一。在招募其它股东或者合伙人时,商业计划书是最有说服力的。

企业在创业板上市的门槛相对较低,一般来说,企业要想在国内证券市场上市,必须经历综合评估、规范重组、正式启动三个阶段。其具体的流程是:保荐机构和承销商选择、组建IPO小组、尽职调查、制定重组方案和发行方案、编制募股条件与申请股票发行、上市申请、路演、定价、发行上市、上市后维护等内容。

创业板市场,是为了给中小企业提供更方便的融资渠道,为风险资本营造一个正常的退出机制,是专为有成长潜力的中小企业而设立的证券市场。由于创业板市场相对宽松的上市条件为那些一暂时还不能在主板上市的企业提供了绝好的上市融资机会。此外,在创业板上市为自主创新企业及其他成长型创业企业建立了直接融资的平台,有利于提高企业的自有资本的比例,完善企业的资本结构,提高企业自身抗风险的能力,增强企业的发展后劲;有利于建立现代企业制度,规范法人治理结构,降低经营风险,增强企业创业和创新的动力;有利于企业树立品牌,提高企业形象,更有效地开拓市场。

通过这三天的实习,虽然时间并不是很长。但是却能够把这学期所学的重点内容知识完全的运用到了所做的实践报告中。通过课上所学的企业上市的流程及概况去分析一家具体的公司的上市过程,使我们将书本上的知识吸收理解并运用到实际中,这样能将我们所学的知识融会贯通。此外,在学到知识的同时,也加强了我们小组成员之间的团队合作能力,且报告分析的内容很多都相互关联需要组员之间相互沟通,也提高了我们的沟通能力。我相信这次实训不仅仅是一次简单的作业而已,更重要的的是为我们毕业后到实际 工作岗位工作也奠定了一定能的基础。总之,在这次实训的过程中使我收获很大。
